This Service Agreement outlines the specific terms and conditions for individual web design and development projects undertaken by our company.
1. Project Scope
Each project begins with a detailed scope of work document that outlines deliverables, timelines, milestones, and specific requirements. This scope serves as the foundation for the service agreement and ensures both parties have clear expectations.
2. Deliverables
We commit to delivering the following based on the agreed project scope:
- Design mockups and prototypes as specified
- Fully functional website or application code
- Documentation and training materials
- Source files and assets upon final payment
- Post-launch support as outlined in the agreement
3. Timeline and Milestones
Projects are divided into clear milestones with associated deadlines. Timeline estimates are based on timely client feedback and content provision. Delays in client deliverables may affect the overall project timeline.
4. Payment Structure
Standard payment structure includes:
- Initial deposit (typically 30-50%) to commence work
- Milestone payments based on project phases
- Final payment upon project completion and approval
- Payment terms: Net 15 days unless otherwise specified
5. Revision Policy
Each project phase includes a specified number of revision rounds. Additional revisions beyond the agreed scope will be quoted separately. Major changes to project scope require a formal change order and may affect timeline and budget.
6. Client Responsibilities
Clients agree to provide:
- Timely feedback within agreed timeframes
- All necessary content, images, and brand assets
- Access to required systems and platforms
- Designated point of contact for project communication
- Final approval at each milestone
7. Intellectual Property
Upon receipt of final payment, clients receive full ownership of custom deliverables created specifically for their project. We retain rights to use the project in our portfolio and marketing materials. Pre-existing code, frameworks, and tools remain our property.
8. Warranties and Support
We provide a warranty period (typically 30-90 days) for bug fixes and technical issues related to our work. This does not cover issues arising from client modifications, third-party services, or hosting problems. Extended support packages are available separately.
9. Confidentiality
Both parties agree to maintain confidentiality of sensitive business information, trade secrets, and proprietary data shared during the project. This obligation continues beyond project completion.
10. Termination
Either party may terminate the agreement with written notice. Upon termination, client is responsible for payment of all work completed to date. Partial refunds may be considered based on work completed and expenses incurred.
11. Dispute Resolution
Any disputes will first be addressed through good faith negotiation. If resolution cannot be reached, disputes will be handled through mediation or arbitration in accordance with Thai law.
